Growthium is a trading name of Vertex 360 LLC (“we,” “us,” or “our”).

The Growthium Platform (the “Platform”) is a business automation and communication system designed for small and medium-sized service businesses. By subscribing, you acknowledge and agree to the following material terms.

I. WHAT THE PLATFORM IS

The Platform is:

• An AI-powered business automation and communication platform

• A combination of software tools and managed automation services

• Designed to help businesses:

  • Capture and respond to leads

  • Improve response times

  • Automate follow-up and post-sale communication

  • Manage reviews and reputation

  • Improve internal visibility of enquiries and opportunities

The Platform may include:

• AI-driven messaging and call-handling workflows

• CRM-style contact and conversation tracking

• Automated follow-up, reminders, and notifications

• Review and reputation management tools

• Analytics and reporting dashboards

II. WHAT THE PLATFORM IS NOT

The Platform is NOT:

• A marketing agency, advertising service, or lead-generation provider

• A call center or human answering service

• A guarantee of business growth, revenue, or profitability

• A replacement for your staff, sales process, or customer service team

• A substitute for professional judgment, industry expertise, or legal compliance

We do NOT promise or guarantee:

• A specific number of leads, bookings, or customers

• Revenue increases or business outcomes

• That every missed call or enquiry will convert

• That AI responses will replace human decision-making

III. CRITICAL DISCLAIMERS (PLEASE READ)

We make NO GUARANTEES regarding:

• Business success, growth, or income

• Lead conversion rates

• Customer satisfaction or retention

• Review volume, ratings, or reputation outcomes

• Response accuracy in all circumstances

The Platform assists with automation and communication — it does not eliminate the need for human oversight.

IV. YOUR RESPONSIBILITIES

You are solely responsible for:

• Operating your business lawfully and ethically

• Maintaining all required licenses, permits, and insurance

• Ensuring communications sent via the Platform comply with applicable laws (including consumer protection, privacy, and messaging regulations)

• Reviewing, approving, and monitoring automated messages

• Ensuring AI outputs are appropriate for your business and customers

You remain fully responsible for all customer interactions and decisions.

1. ACCEPTANCE AND PLATFORM OVERVIEW

By subscribing to the Growthium Platform, you agree to these Terms and our Privacy Policy. The Platform provides AI-assisted automation tools and services intended to support — not replace — your existing business operations.

2. ELIGIBILITY AND BUSINESS REQUIREMENTS

2.1. Eligibility

To use the Platform, you must:

• Be at least 18 years of age

• Operate a legitimate business

• Have authority to act on behalf of the business

• Provide accurate and truthful business information

2.2. Verification

We may verify business identity, contact details, website ownership, and messaging consent authority. We reserve the right to deny or terminate access if information is false or misleading.

3. SUBSCRIPTION AND BILLING

3.1. Subscription Model

The Platform is offered on a monthly subscription basis, which may include platform access, automation setup, system maintenance, and support.

3.2. Payment Terms

• Subscription fees are billed monthly in advance.

• Subscriptions automatically renew unless canceled.

• Fees are non-refundable once a billing cycle begins.

• All fees are in United States Dollars (USD).

4. AI TECHNOLOGY AND AUTOMATION

4.1. Use of AI

The Platform uses AI to assist with automated responses, follow-up workflows, and data analysis. AI outputs are generated based on configured rules and may not be perfect or context-aware in all cases.

4.2. AI Data Usage

Anonymized and aggregated usage data may be used to improve system performance. We do not sell your identifiable business or customer data.

5. PLATFORM USE AND RESTRICTIONS

5.1. Permitted Use

You may use the Platform solely for your own business operations, including customer communication and lead management.

5.2. Prohibited Use

You may NOT share access credentials, use the Platform for spam/harassment, attempt to reverse engineer the system, or violate privacy laws.

6. DATA OWNERSHIP AND SECURITY

6.1. Data Ownership

You retain ownership of your business and customer data. We act as a data processor solely to provide the service.

6.2. Security

We implement commercially reasonable safeguards; however, no system is 100% secure, and you acknowledge inherent risks.

7. INTELLECTUAL PROPERTY

All Platform technology, workflows, and AI logic are proprietary to Growthium / Vertex 360 LLC. You are granted a limited, non-transferable license to use the Platform while subscribed.

8. SUPPORT AND AVAILABILITY

Support is provided according to your subscription tier. Platform uptime is not guaranteed, and scheduled maintenance may occur.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1. Service Disclaimer

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

9.2. Limitation of Liability

Our total liability shall not exceed the fees paid by you in the prior 12 months. We are not liable for lost revenue, customer disputes, or regulatory consequences of your communications.

10. TERMINATION

You may cancel with written notice per your billing terms. We may suspend access for violations. Upon termination, access is revoked and data deletion follows our standard policy.

11. INDEMNIFICATION

You agree to indemnify Growthium from claims arising from your business operations, customer communications, or violations of law.

12. SMS & MESSAGING TERMS

By using messaging features, you confirm you have proper consent to message contacts and comply with TCPA, CTIA, and applicable laws. Standard opt-out instructions apply (“STOP”). Message and data rates may apply.

13. MODIFICATIONS

We may update these Terms with reasonable notice. Continued use constitutes acceptance.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming.
